Biography

Kelly Kriebs is a partner in the Transactional Practice Group in the Los Angeles office of Baker McKenzie. Kelly counsels clients on complex corporate transactions, with a focus on mergers and acquisitions, divestitures and carve-outs, and recapitalizations. She also provides counsel to boards and equity holders on corporate governance issues and strategic matters.

Kelly currently serves as mayor of Sierra Madre, California, and is a former board member and co-chair of the Business Law Section of the Women Lawyers Association of Los Angeles.

Practice Focus

Kelly's practice focuses on corporate transactions. She represents corporate, LLC and partnership buyers and sellers in private company mergers, acquisitions and divestitures, as well as in recapitalizations and joint ventures.

She advises private equity funds, companies and entrepreneurs on a broad range of private transactions and corporate governance matters.

Representative Legal Matters

  • Represented Intel Corp. in the USD 9 billion divestiture of its SSD business and NAND memory manufacturing facility in China.
  • Advised a luxury streetwear fashion house in its partnerships with a national retail chain and a multinational sportswear manufacturer. Continues to advise on general corporate and strategic matters.
  • Represented Nexus Capital Management in its acquisitions of Lamps Plus and Sky Organics, as well as in the merger of the FTD florist network with From You Flowers.
  • Acted as counsel to the largest independent woman-owned marketing agency in its sale to Publicis Groupe, a multinational advertising and public relations company.
  • Advised on various roll-up acquisitions by Envoy Solutions, a diversified distribution company and subsidiary of Fomento Economico Mexicano, S.A. de CV (FEMSA).
  • Acted as counsel to Mitsubishi Electric USA in the creation of its joint venture with Ingersoll-Rand for the marketing, sales and distribution of HVAC products.
  • Represented investment funds managed by affiliates of Fortress Investment Group in the acquisition and subsequent sale of Revolution Studios to Content Partners.
  • Acted as counsel to Sperber Landscape Companies in various roll-up acquisitions of landscaping companies.
  • Advised BDT&MSD Partners in its investment in GoodLeap, a technology company providing financing and software products for home efficiency and solar solutions.
  • Represented infrastructure support services company Cotton Holdings in its sale to Sun Capital.
